DIP Holding's initial public offering on the Dubai Financial Market (DFM) is approaching its November 3, 2026 subscription deadline, with shares priced between AED 1.10 and AED 1.15, implying a market capitalization of AED 9.54 billion to AED 9.98 billion.
The operator of Dubai Investments Park is offering 1.735 billion existing shares, representing 20% of its issued capital. Parent company Dubai Investments will retain 80% ownership, assuming the offer size remains unchanged.
This is a secondary offering: approximately AED 1.91-2.00 billion in proceeds will go to Dubai Investments, not DIP Holding.
DIP Holding IPO: Key Terms
The remaining 3% is reserved for eligible Dubai Investments employees and qualifying individual shareholders, allocated 1% and 2%, respectively.
Retail investors require a DFM National Investor Number (NIN). The prospectus provides for a minimum guaranteed allocation of 2,000 shares per successful retail subscriber, subject to its terms. Actual allocations may be higher or lower than requested subscription quantities.
What Do Investors Get at This Valuation?
DIP Holding owns the company operating Dubai Investments Park, a 23-million-square-metre district supporting industrial, logistics, residential and commercial activity.
Its business differs from conventional property development.
DIP primarily earns recurring revenue from long-term ground leases, subleasing fees and infrastructure-related services. Tenants finance much of their own building development, reducing DIP's direct capital expenditure requirements.
The company generated AED 960 million in revenue and AED 678 million in adjusted EBITDA during 2025, representing a 71% adjusted EBITDA margin.
In the first half of 2026, revenue reached AED 492 million, while adjusted EBITDA increased to AED 355 million, with the margin improving to 72%.
DIP Holding Financial Performance

One important valuation consideration is that reported net profit exceeded revenue in 2025. The company's adjusted EBITDA definition excludes fair-value gains on investment properties, among other adjustments.
Investors should therefore distinguish recurring rental earnings from accounting gains when evaluating the company's profitability.
Is the IPO Valuation Attractive?
At the proposed offer range, DIP Holding would trade at approximately 8.7-9.1 times reported 2025 net profit and 9.9-10.4 times 2025 revenue.
However, the historical price-to-earnings multiple should be interpreted cautiously because reported net income includes non-operating valuation effects.
Implied Valuation at Both Ends of the Offer Range
Calculations based on 8.676 billion shares, FY2025 reported results and the AED 725 million FY2027 dividend target. Multiples are illustrative, not forecasts.
A fuller assessment requires examining recurring earnings, property valuations, debt, financing costs and comparable listed businesses.
Dividend Yield: The Main Investment Attraction
DIP Holding targets annual dividends of AED 700 million for 2026, AED 725 million for 2027 and AED 750 million for 2028.
At the IPO price range, the FY2027 dividend target implies a yield of 7.27%-7.60%, subject to approvals and the company's financial position.
The first post-listing payment is expected in April 2027, totaling AED 350 million for the second half of 2026. Eligible shareholders on the relevant record date are expected to participate, even though the IPO occurs in November.
Dividend sustainability will depend on recurring cash generation, financing requirements and distributable reserves.
Where Could Future Growth Come From?
DIP Holding has identified an important opportunity within its existing lease portfolio. Approximately 10.7 million square metres, equivalent to 86% of its operating ground-rent portfolio, are scheduled for contractual repricing between the second half of 2026 and 2030. An initial 0.8 million square metres had already been repriced by June 2026, achieving an average rental increase of approximately 28%.
Management also expects growth from subleasing fees and converting selected industrial plots to higher-value logistics uses. However, future rental increases will depend on market conditions, tenant demand and the successful execution of lease reviews.
What Should Investors Watch Before Listing?
DIP Holding offers an unusual combination of mature real-estate infrastructure, high operating margins and a clearly stated dividend policy.
However, investors should assess its dependence on Dubai Investments Park, the implications of its 99-year government headlease established in 1999, property valuation assumptions and the sustainability of future distributions.
The offering has received Shariah-compliance pronouncements from the relevant supervisory committees of Emirates NBD and Dubai Islamic Bank. Future eligibility for Shariah-compliant ETFs will depend on separate index and financial screening requirements.
For investors comparing the IPO with diversified GCC investment products, the central distinction is concentration: DIP Holding provides direct exposure to one operating business rather than a basket of securities.
The fundamental investment question is whether DIP Holding's recurring cash flows and rental growth opportunities justify its nearly AED 10 billion valuation and whether its projected dividends can be maintained beyond the initial listing period.
